1. Acceptance of Terms
By accessing or using Freelane (the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Service.
Freelane is software for managing freelancer-client workflows. We provide a platform that enables freelancers to create projects, manage project stages, collect payments, and deliver work to clients through a shared portal.
2. Eligibility and Accounts
To use Freelane, you must:
- Be legally capable of entering into a binding agreement
- Provide accurate account and billing information
- Keep login links, access links, and credentials secure
- Use the service only for lawful business purposes
Freelancer accounts: Freelancers create accounts using email and password authentication. You are responsible for all activity that occurs under your account.
Client access: Clients access projects through tokenized invite links or access codes. Clients do not create accounts but receive short-lived project-scoped sessions. You are responsible for maintaining the security of any access links or codes you receive.
3. The Service
Freelane is software for managing freelancer-client workflows. Important limitations:
- Freelane is not a law firm, escrow provider, employment agency, debt collector, payment processor, or guarantor of project outcomes
- Step payments are processed by Stripe, not directly by Freelane
- Freelane is not a party to the contract between freelancer and client
- Users are responsible for their own project statements, deliverables, taxes, and compliance obligations
4. Platform Billing
Freelancers may pay subscription fees or one-time lifetime deal pricing for access to Freelane:
- Pricing may change prospectively for subscriptions
- Taxes may apply to your subscription
- Recurring subscriptions renew until canceled unless clearly stated otherwise
- Overdue platform billing may restrict features such as new project creation
5. Client Project Payments
Client step payments are processed through Stripe on behalf of the freelancer:
- Payment success inside the app depends on verified Stripe state, not only redirect status
- Disputes, chargebacks, or refunds may revoke access to deliverables or future steps
- Stripe's own terms also apply to payment processing
6. User Content
Ownership: User content remains owned by the user or rights holder. You retain all rights to content you upload or create through the Service.
License to Freelane: By using the Service, you grant Freelane a limited license to host, process, transmit, and display your content solely to operate and improve the Service.
Freelane Content: Product software, branding, and site content belong to Freelane or its licensors and are protected by copyright and other intellectual property laws.
Feedback: Feedback you provide may be used by Freelane without obligation unless local law says otherwise.
7. Acceptable Use
You agree not to use the Service to:
- Engage in unlawful, fraudulent, deceptive, or abusive activity
- Attempt credential theft, phishing, malware distribution, or unauthorized access
- Scrape, reverse engineer, or bypass product restrictions except where prohibited by law
- Store highly sensitive regulated data unless explicitly allowed
- Upload infringing content, engage in harassment, send spam, or abuse payment systems
Freelancer Responsibilities: Freelancers must have the right to upload and share project materials, request only information they are entitled to collect from clients, provide legally sufficient project terms and disclosures, and comply with privacy, consumer protection, IP, tax, and professional rules applicable to their work.
Client Responsibilities: Clients must use only authorized access links or codes, provide accurate payment and project information, not upload malware or illegal content, and not attempt to bypass step locks or download restrictions.
8. Third-Party Services
The Service integrates with third-party services, including Stripe for payments, Supabase for infrastructure, and others. Your use of these third-party services is subject to their respective terms and privacy policies. Freelane is not responsible for the practices of third-party services.
9. Suspension and Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:
- Violation of these Terms or our Acceptable Use policy
- Fraud, abuse, or security risks
- Non-payment of platform fees
- Legal necessity or compliance requirements
Upon suspension, cancellation, or termination, access may end immediately or after any required notice period. Some data may remain during backup, compliance, fraud, dispute, or tax retention windows. Some client project access may remain subject to freelancer-controlled settings and lawful retention duties.
10. Disclaimers
To the extent allowed by law, the Service is provided “as is” and “as available” without warranties of any kind. We disclaim, to the extent permitted by law:
- Uninterrupted or error-free operation
- Guaranteed payment collection
- Guaranteed dispute outcomes
- Guaranteed file preservation beyond stated retention practices
- Suitability for any particular legal, accounting, or regulatory purpose
11. Limitation of Liability
To the extent permitted by law, Freelane's total liability for any claims arising out of or relating to the Service shall not exceed the greater of (a) the amounts paid by you to Freelane in the 12 months before the claim, or (b) $100.
To the extent permitted by law, we exclude indirect, incidental, special, consequential, and punitive damages, including lost profits, data loss, or business interruption.
12. Indemnification
You agree to indemnify, defend, and hold harmless Freelane and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your content
- Your misuse of the Service
- Your breach of law or these Terms
- Disputes between freelancers and clients
13. Governing Law and Disputes

We also reserve the right to modify features, impose usage limits, suspend or discontinue the Service, update pricing and policies, and perform maintenance, security actions, and fraud prevention as needed.
